Service Description

POU is a global discovery, support and collaboration platform for founders, projects, individual talent, small businesses, growth partners, investors and community members. Depending on availability and account type, POU may provide:

• Public profiles and project or business showcases
• Project, talent and opportunity discovery
• Investor thesis, pipeline and interaction tools
• Invest Me and Growth Partner workspaces
• Messaging, meetings, collaboration and community support features
• AI Mentor guidance and AI-based project readiness scoring
• Administrative, verification, notification and support tools

Features may vary by user type, country, eligibility, platform configuration or subscription level.

Eligibility

You must be at least 13 years old to use POU. You must be at least 18, have reached the age of legal majority in your jurisdiction and have legal capacity to use investor, funding, payment, contract or business transaction features. If you use POU for an organization, you confirm that you are authorized to bind it. You may not use POU where doing so is prohibited by law.

User Responsibilities

By using POU, you agree to:

• Comply with applicable laws, regulations and these Terms
• Provide accurate, current information and correct material errors
• Respect the rights, privacy and intellectual property of others
• Use investor, support and business features only when legally eligible
• Perform your own legal, financial, tax and commercial due diligence
• Not upload illegal, abusive, deceptive, infringing, discriminatory or fraudulent content
• Not impersonate others, create fake accounts or misrepresent identity, traction, team, finances or results
• Not manipulate AI scores, discovery rankings, support signals, reviews or platform activity
• Not scrape, probe, reverse engineer, overload or access the service through unauthorized automation
• Not introduce malware, compromise security or use POU to spam, harass or defraud anyone

Account Security

You are responsible for maintaining the confidentiality of your credentials and for activity under your account. Use accurate registration information, do not share access and notify us immediately at support@powerofusers.com if you believe an account has been compromised. We may require verification or revoke active sessions to protect users and the platform.

User Content

You retain ownership of content you submit to POU and remain solely responsible for it, including profiles, project details, pitch materials, traction claims, business information, images, documents and messages. You confirm that you have the rights and permissions needed to submit and publish that content.

You grant VenturePull, Inc. a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, display and distribute your content only as needed to operate, secure, promote and improve POU. This license ends when the content is deleted, except for reasonable backups, content shared with others and records we must retain by law. Public content may be seen, copied or shared by other users outside POU.

Messaging and Member Conduct

Messaging is provided to support legitimate discovery and collaboration. The availability of conversation initiation may depend on user role and platform rules. Receiving a message, connection or expression of interest does not create a partnership, agency, fiduciary relationship, commitment or transaction. Users are responsible for their communications and any agreement reached with another member.

No Investment or Professional Advice

POU is a technology and community platform. Unless expressly stated in a separate written agreement, VenturePull, Inc. is not acting as your broker, dealer, investment adviser, placement agent, crowdfunding intermediary, attorney, accountant or fiduciary. POU does not recommend that any person buy, sell or hold a security and does not guarantee fundraising, investment, partnership, support or business results.

Project and member information is supplied primarily by users and may be incomplete, inaccurate or outdated. Any investment, securities offering, ownership transfer or commercial agreement must be conducted lawfully between the relevant parties and, where required, through appropriately registered or licensed providers. Before acting, obtain independent professional advice and perform your own verification and due diligence.

AI Mentor and AI Scoring

AI Mentor may identify missing information and suggest ways a founder can improve a project presentation. AI scoring may estimate investment readiness or help investors filter projects. These automated outputs can be incomplete, inaccurate, biased or unsuitable for a particular situation. They are informational tools only, not investment advice, valuation, endorsement, guarantee, credit decision or substitute for human judgment. Users must independently evaluate every output before relying on it.

Community Support, Payments and Transactions

POU may help users discover and support one another, but POU does not hold, custody or transfer member funds and does not take a commission from community support. Payments or onboarding made available through an external provider are governed by that provider's terms, eligibility checks, fees and privacy practices. A contribution or expression of support does not by itself purchase equity, create ownership or guarantee a reward unless the parties enter a separate lawful agreement that expressly says so.

Paid and Future Features

Core or selected POU features may be offered without charge. Certain current or future premium workspaces, visibility tools, subscriptions or business services may require payment. Applicable prices, billing terms, renewal rules and cancellation rights will be shown before purchase. We may change prices prospectively with notice where required by law.

Intellectual Property

The POU name, logos, software, interface, designs, graphics and platform content supplied by VenturePull, Inc. are owned by or licensed to VenturePull, Inc. Subject to these Terms, you receive a limited, revocable, non-exclusive and non-transferable right to use POU for its intended purposes. You may not copy, modify, distribute, sell, sublicense or reverse engineer protected parts of the platform except where law expressly permits it.

Third-Party Services and Links

POU may contain links to member websites or integrate services provided by Amazon Web Services, Amazon Cognito, Stripe or other providers. We do not control and are not responsible for third-party content, availability, terms, security or transactions. A link or integration does not constitute endorsement.

Service Availability and Changes

We continually improve POU and may add, modify, limit, suspend or remove features; perform maintenance; or update eligibility and usage limits. We may do so without prior notice where permitted by law. We do not guarantee that any feature, profile, project, message or data will remain available indefinitely.

Disclaimer

To the fullest extent permitted by law, POU is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant uninterrupted or error-free operation, the accuracy of user content or AI output, the identity or conduct of users, or the success or legality of any opportunity. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

Limitation of Liability

To the fullest extent permitted by law, VenturePull, Inc. and its officers, directors, employees and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, data, opportunity, goodwill or business, arising from or related to POU, user conduct, third-party services or transactions. Nothing in these Terms limits liability that cannot lawfully be limited.

Account Suspension and Termination

We may restrict, suspend or terminate accounts or content that violate these Terms or law, create security or legal risk, involve fraud or abuse, harm users or misuse platform services. Where appropriate and permitted, we may provide notice or an opportunity to appeal. You may stop using POU and request account deletion as described in our Privacy Policy. Sections that by their nature should survive termination will remain effective.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except where mandatory consumer law in your place of residence applies. Nothing in these Terms removes rights that cannot lawfully be waived.

Changes to These Terms

We may update these Terms from time to time. The latest version and effective date will always be available at powerofusers.com/terms. Where required, we will provide additional notice of material changes. Continued use after updated Terms become effective means you accept them; if you do not agree, you must stop using POU.
